Dennings (Trustees) Limited is a fully licensed
and regulated trust company operating in St Vincent and the Grenadines,
where the Offshore Finance Authority regulates us.
Our services include the formation of offshore trusts, the incorporation
of offshore international business companies, the formation of mutual
funds and the establishment of offshore banks. We are also able
to obtain banking services for all our clients, and we will provide
an accounting service for our client companies.
In the areas of mutual fund management and administration, we will
perform the administration of mutual funds (including the calculation
of NAV). Where we act as investment manager to mutual funds, we
will sub-delegate this function back to our clients to ensure that
our clients get a substantial share of the fee income.
Dennings is a specialised law firm operating in
St Vincent and the Grenadines. We offer professional services in
all aspects of international tax planning, private wealth preservation,
and many areas of corporate and commercial law.

Formation of Offshore Companies
Dennings Trustees is able to act for its clients
who wish to form international business companies in St Vincent
and the Grenadines. Also, working through a BVI registered agent
Crescent Corporate Services Ltd we are able to facilitate the
formation of entities in the British Virgin Islands. If required,
we are also able to provide nominee directorships and nominee
shareholders to any entity established for our clients. All of
our services are competitively priced.
Establishing Offshore Trusts
Dennings Trustees is able to facilitate or provide
trustee services in any of the 2 jurisdictions named above. We
are prepared to act as trustees or protectors in relation to any
of these trusts.
Formation of Mutual Funds
Dennings Trustees is able to establish or facilitate
the establishing of mutual funds in either St Vincent or the British
Virgin Islands. We will establish the fund, apply for its licence,
and assist with the administration of the fund once it has commenced
trading. We will draft or review the prospectus and provide or
procure any legal opinion as required. We will also draft any
ancillary agreements as instructed by our clients.
Formation of Captive Insurance Companies
Dennings Trustees is able to assist its clients
in establishing captive insurance companies in St Vincent and
the Grenadines. Working through our network of contacts, we are
also able to facilitate the formation of such companies in the
British Virgin Islands.

Isaac Legair - Director of Dennings (Trustees) Limited
Mr Legair read Finance & Investment Analysis at South Bank
University where he took the MA with distinction. He later read
the postgraduate diploma in Law at the University of Wolverhampton,
and the LLM in Corporate and Commercial Law at the London School
of Economics. He qualified as a Barrister at the Inns of Court School
of Law and was called to the Bar by the Honourable Society of Lincoln's
Inn in 1997 and by the Eastern Caribbean Supreme Court in both St
Vincent and the British Virgin Islands. He is a Fellow of the Chartered
Association of Certified Accountants (ACCA) and the Society of Trusts
and Estate Practitioners (STEP).
Mr Legair read a commercial pupillage at 3 Verulam Buildings,
Gray's Inn specialising in banking and professional negligence.
He also worked in the legal department of Credit Agricole Indosuez,
a leading investment bank in the City of London, where he specialised
in private banking. Prior to that, he was employed as Financial
Accountant to Barlow Lyde & Gilbert, a leading firm of solicitors
in the City of London.
Subsequently, Mr Legair was employed at Euro American Trust and
Management Services Ltd in the Brritish Virgin Islands. His various
roles included: In House Counsel, Director of Mutual Funds, Insurance
Manager and Compliance Officer. Prior to that he was head of the
regulatory unit in St Lucia, and was responsible for launching that
country into the world of offshore financial services.
Mr Legair's unpublished academic writings include: "English
Law Bank Guarantees Inin times of Insolvency" and "The
Trinidad and Tobago Stock Exchange: Tests of Weak-Form Efficiency";
and "Modern Portfolio Theory- A Primer" which
appeared in Trust Law International.
